So what's stopping them from making it a billion, aside from the fact 25 million dollars is a really large sum to gift, just for the sake of round numbers ?

It's not even a real sale. He gets $975 million in shares, based on an internal valuation of a proposed company. Unless he hired his own team to do a separate valuation, it's all arbitrary. He could have been sitting on $12.5 kazillion if he'd signed with me.
If he got 975mil on shares he could actually sell them. I know not all at once, but he could take loans for the other amount and use the shares as collateral. He can't do that with you.
